| Julie Wolff focuses on business transactions, and has negotiated more than $25 billion in merger, acquisition and financing transactions, primarily in the fields of wireless communications and technology. Over the past few years, Julie has represented a number of wireless carriers in building their nationwide footprints of spectrum through the acquisition, sale and lease of FCC spectrum licenses and the acquisition of entities holding FCC spectrum licenses. Julie also serves as outside general counsel to companies in the Pacific Northwest, advising boards of directors and independent committees in corporate governance and conflict-of-interest transactions.
Julie's clients include: Clearwire Corporation, Eagle River Holdings and Mobilitie. Selected Experience Merger of Sprint and Clearwire WiMAX businesses and investment in Clearwire of $3.2 billion by Comcast, Time Warner Cable, Bright House Networks, Google and Intel. (2008) Represented principles in the sale of the above companies to AT&T. (2008) Sale of 64% of the LLC interests of Edge Wireless by Edge Wireless Holdings LLC to AT&T. (2008) Managed and negotiated Clearwire's acquisition and leasing of 2.5 GHz spectrum to create its nationwide spectrum footprint. (2008) Represented clients in acquisitions and sales of cellular communications spectrum on a nationwide basis, including through FCC auction. (2008) Purchase of AT&T's portfolio of 2.5 GHz spectrum for $300 million. (2007) $600 million initial public offering. (2007) Represented issuer in sale of $1 billion common stock in a private investment financing led by Intel and Motorola. (2006) Represented borrower in refinance of its credit facility with Wachovia as the lender's agent. (2006) Acquisition of Danske Telekom. (2005) Acquisition of Ethos Water, a privately held bottled water company. (2005) Numerous preferred equity investments, including in Tello Corp., S5 Wireless, Inc., and World Wide Packets, Inc.
