| Steve Davis focuses his practice on business transactions and assisting public companies with their reporting obligations. He regularly represents public and privately held companies and investors in securities offerings, mergers and acquisitions, and financing transactions.
Practice Highlights
- Financings: represented several startup companies, including an optical component manufacturer, a power converter manufacturer and a software company, in Series A and Series B preferred stock financings; convertible note, warrant and Series C preferred stock financings; convertible promissory note bridge financings; and a recapitalization and financing. Represented a venture capital firm in its investment in a semiconductor manufacturer in Series B preferred stock financing.
- Mergers and acquisitions: represented a publicly held biopharmaceutical company in its acquisition of a privately held biopharmaceutical company and a startup power-converter manufacturer in its acquisition by a power management solutions provider.
- Public company reporting and counseling: advised a biopharmaceutical company and assisted a semiconductor manufacturer on preparation of company periodic reports on Form 10-K and Form 10-Q, annual proxy statements and other SEC filings.
