Practice Highlights

• Financings: represented several startup companies, including an optical component manufacturer, a power converter manufacturer and a software company, in Series A and Series B preferred stock financings; convertible note, warrant and Series C preferred stock financings; convertible promissory note bridge financings; and a recapitalization and financing. Represented a venture capital firm in its investment in a semiconductor manufacturer in Series B preferred stock financing.
• Mergers and acquisitions: represented a publicly held biopharmaceutical company in its acquisition of a privately held biopharmaceutical company and a startup power-converter manufacturer in its acquisition by a power management solutions provider.
• Public company reporting and counseling: advised a biopharmaceutical company and assisted a semiconductor manufacturer on preparation of company periodic reports on Form 10-K and Form 10-Q, annual proxy statements and other SEC filings.
