| Tom Smith advises clients in a broad range of real estate, real estate finance and general business issues. He counsels clients regarding the management, operation, development, construction, acquisition, financing and leasing of conventional and distressed real estate, including mixed-use projects, shopping centers, office buildings and industrial parks. Tom also represents retail, restaurant, office, industrial, banking and homeowner association clients with real estate, land use and general business interests.

- Negotiated and documented multiple commercial leases on behalf of a variety of landlords and tenants in Los Angeles, San Francisco, and Portland metropolitan areas including space for use as restaurants, medical offices, general offices, television sound stages and a variety of industrial uses.

Selected Experience Assist sophisticated buyer in the acquisition and due diligence inspections of a retail property in Salem, Ore. Negotiate, document and close on acquisition of a packaging manufacturing facility in Lakeville, Minn., for a large international business conglomerate. Negotiate and document the acquisition of an industrial property contaminated with TCE’s in Harrisonburg, Va. Negotiate and document the acquisition of a large industrial property in Cedar City, Utah, that required pre-closing environmental remediation and escrow holdback agreements to cover future environmental issues. Negotiate and document the acquisition of a large undeveloped parcel to be used for future development in conjunction with an adjacent entertainment complex. Represented large international business conglomerate in the negotiation and documentation of the acquisition of a commercial newsprint and general printing facility in Michigan and the sale of a 100,000+ square foot warehouse in South Carolina. Represented national gaming operator and developer in the negotiation and documentation of an option to purchase, and other ancillary documents, for the acquisition, financing, and development of real property for use as a large gaming and entertainment complex in Oregon. Represented owner in lease of approximately 15,000 square feet of specialized medical office space in Northern California. Represented owner in the negotiation and documentation of a construction agreement for the development and construction of an approximately 100,000 square foot medical office building and surgery center in Beaverton, Ore. Work with trustee and co-owner trustee counsel to negotiate and document the confirmation of the division of an approximately 15,000 acre ranch in Santa Barbara County, Calif., into as many as 10 parcels through issuance of certificates of compliance in conjunction with grant of certain access rights to environmentally sensitive coastal areas. Represented foreign owner of 15,000+ acre tract of agricultural land in Southern California in obtaining certificates of compliance and approval of a parcel map that subdivides the property into eight separate parcels. Represented national high-tech tenant in the negotiation and documentation of an approximately 100,000 square foot office lease in downtown San Francisco for use as its national headquarters. Represented the owner of a high-end wine auction house in the negotiation of a lease in Napa, Calif., for the storage of expensive and temperature-sensitive wine collections. Represented municipal landlord in the negotiation and documentation of a lease for the development of an 11,140 square-foot community medical clinic in Marin County, Calif.
