We understand the intensity, technical skill and creativity needed to get deals done. We have the resource depth to keep pace with the most complex, fast-moving deals and the breadth to provide sophisticated, specialized advice on key issues such as tax, securities, executive compensation, intellectual property, antitrust, benefits, labor, real estate, environmental issues, and virtually any other substantive area that could meaningfully affect the terms of a deal. We plan and efficiently execute due diligence in partnership with your management, accounting firm and other outside professionals.
We handle mergers and acquisitions for public and private clients and in a wide range of industries. We also serve as special counsel to boards, special committees and large stockholders involved in M&A activity. We guide domestic and foreign clients in leveraged buyouts, spinoffs, cross-border transactions, deals involving troubled businesses and related-party transactions.
Our strong industry knowledge and insight extends across into a number of fields, including:
- Family owned or other privately held companies
- Emerging technology companies
- Telecommunications
- Energy
- Health care
- Medical devices
- Food and food processing
- Manufacturing
Whatever the deal, we make sure we understand your definition of success for both the outcome and the process, and structure our service accordingly. We try to begin each new project with an off-the-clock discussion to ensure we understand your business goals and priorities and to help us align our team to ensure your success. We will staff your work efficiently and will not charge you for multiple lawyers participating in the same meeting or call unless each lawyer is bringing specific value to the table.
Our goal is to accomplish your objectives on good terms and in a timely fashion, enhance your peace of mind throughout the process and help you work successfully with various stakeholders inside and outside your company. |
