| We represent project developers, power marketers, municipal utilities, electric cooperatives and end users in connection with a range of energy-related transactions:
- Energy trading and other transactions: Our lawyers represent power marketers, municipal utilities, electric cooperatives and end users in connection with wholesale and retail sales of electric power. We advise on natural gas transportation and supply arrangements and assist in contract negotiations. In addition, we represent power purchasers and sellers in connection with electric interconnection and transmission agreements.
- Mergers and acquisitions: We represent project developers in connection with the acquisition and divestiture of generation assets. We have also represented industrial customers in the sale or redevelopment of captive energy assets integrated into industrial complexes.
- Project development and finance: We represent independent power producers, investor-owned utilities, municipal utilities and electric cooperatives in the acquisition, development, financing, construction and operation of electric generation and transmission facilities. Our experience includes wind, solar, geothermal, biomass and hydro facilities, as well as natural gas, LNG, oil and coal-fired plants.

Selected Experience Avista Energy, Inc. Negotiation of a $150,000,000 demand credit facility, in U.S. and Canadian dollars, to fund the operations of a national power marketer. Avista Corporation Representation throughout the acquisition and development of a 280MW natural gas-fired combined-cycle power plant in Boardman, Ore. (2003) Avista Corporation Outside legal counsel to Avista, a large regulated electric and gas utility, involved in the production, transmission and distribution of energy and other energy-related businesses, including regulated electric and natural gas utilities in the Pacific Northwest. (Ongoing) White Creek Project LLC Represented White Creek Project LLC as project counsel in connection with the development, sale and construction financing for the 205 MW White Creek Wind Generating Project located in Klickitat County, Wash. Newberry Geothermal Representing project developer in the development of, private equity financing of, and sale of power from a 120 MW geothermal project located near Bend, Ore. (Ongoing) Harvest Wind Project Representing the members of the Harvest Wind Project as project counsel in connection with the development and financing of a 99 MW wind generating project located in Klickitat County, Wash. WestLB AG, New York Branch Represented the lender in connection with two sites of a five-facility project able to produce 40 and 50 million gallons, respectively, of ethanol annually.
