Formed a new investor-owned electric utility, California Pacific Electric Company, LLC (CalPeco) consisting of electric utility assets (in the Lake Tahoe area of California) previously operated by Sierra Pacific Power Co. Acted as lead attorneys for CalPeco in negotiating asset purchase, power purchase and other key transaction documents. We also served as regulatory counsel in obtaining necessary authorizations and clearances from the California Public Utilities Commission, Federal Energy Regulatory Commission and Federal Trade Commission. Additionally, we are managing ongoing post-closing compliance and transfer issues with respect to environmental permits, real property rights, and labor and employment issues. (2011)
