Representation of financial institutions in various credit card issuing and processing transactions, including formation and amendment of private-label credit card and reward management programs and the implementation of strategic merchant relationships.
Negotiation and preparation of documents for purchase and sale of billions of dollars of various mortgage loans, including prime, nonprime, Agency-eligible, and FHA/VA product.
Financing and Loan Transactions
Drafting and negotiating commercial loan documents for various secured and unsecured loan facilities.
Assisting with review and development of loan and security documents for customized credit arrangements.
Advising clients and drafting agreements for various complex financing transactions, including asset-backed commercial paper conduit and trade receivable securitizations.

Preparing and negotiating customized asset and service acquisition contracts, including procurement of long-term, integrated asset and service deliveries.
Drafting and negotiating agreements and related documentation for the acquisition of federal government receivables.
Reviewing and drafting confidentiality agreements, payoff arrangements, and other general commercial contracts.
