Representative Experience
Negotiates and documents complex commercial loan transactions. Representative transactions have included a $125 million multi-bank secured loan to a manufacturer, a $65 million secured loan to a beverage distributor, a $12 million loan secured by eight parcels of real property in three states, and numerous secured and unsecured loans involving technology companies, assisted living facilities and other industry concentrations.

Advises issuers and underwriters in public and private securities offerings. Representative transactions and experience have included a $70 million initial public offering for a technology company, formation of a venture capital fund, numerous private placements, as well as 1934 Act reporting work and Sarbanes-Oxley compliance.

Represents clients in mergers and acquisitions transactions. Representative transactions have included the sale of a publicly traded technology company, and strategic investments in Mexico and the Middle East.

Represents small to medium-sized businesses as outside general counsel. Clients include a petroleum products distributor, a cable television and media company, and a concrete products manufacturer.
