Represents lenders and borrowers in loan transactions, including drafting and negotiating loan agreements, promissory notes, guarantees, pledge agreements, intercreditor agreements, deeds of trust, letters of credit, collateral assignment documents and related loan and security documents

Counsels secured parties on UCC Article 9 related issues, including issues relating to attachment and perfection of security interests in various types of collateral and issues relating to default remedies, including foreclosure

Represents issuers of private label and co-brand credit cards, including drafting and negotiating credit card deals with a variety of retailers, associations and manufacturers

Represents merchants in connection with private label and co-brand credit card transactions and on-line payment related matters

Represents buyers and sellers in corporate stock and asset acquisitions and mergers

Advises clients on entity formation and corporate governance matters

Drafts and negotiates purchasing and fulfillment agreements, including supply, marketing, warehousing and distribution agreements
