Advises clients on the acquisition, development, and commercialization of software, hardware, related computer technologies and services, and other forms of intellectual property
Counsels clients on issues and policies concerning the acquisition and use of technology and information, including computer software, hardware and Internet services; international, regulatory and e-commerce issues; intellectual property and technology-related due diligence and structure matters affecting corporate mergers and acquisitions, spin-offs and asset divestitures, venture capital investments, joint ventures, and other commercial transactions; and protection and commercialization of technology and information across online and traditional environments
Structures, prepares and negotiates a wide variety of technology, services and intellectual property-related and other commercial agreements, including: computer software, hardware, patent, copyright, database, content, and other inbound and outbound licenses; customer and vendor agreements for telecommunications and PCS services and equipment; OEM, ASP and other distribution agreements; portal, access and end-user license agreements; master services, consulting and marketing agreements; and other collaboration, technology transfer and development arrangements
