Representative Experience
Recent transactions have involved representing large credit card issuers and acquirers in:

• Many cobranded credit card, cobranded debit card and private-label credit card program agreements with airlines, major soft goods retailers, major discount retailers, loyalty programs, an oil company and others, as well as agent bank agreements;
  
• Many agreements for the purchase or sale of credit card portfolios and related assets, including several portfolios in excess of $1.5 billion;
  
• Many agreements with open-loop payment associations, including several pricing agreements, negotiated rules amendments, strategic alliances, and agreements for the provision of embedded cardholder benefits, as well as various transactions involving a closed-loop payment association;
  
• Agreements establishing or disposing of several acquiring-processing alliances, including one of the largest in the US, and agreements for the provision of processing services to major merchants; and
  
• Bids for such transactions.

Other recent transactions have involved representing loyalty programs in various transactions, representing major hardware and soft goods retailers in private-label credit card agreements and representing a professional sports team in an affinity card arrangement.

Non-transactional activities include advising card issuers regarding previously negotiated program agreements, including with respect to the risks of potential retailer bankruptcy, and advising financial institutions on consumer compliance issues arising under the Truth in Lending Act, the Real Estate Settlement Procedures, the Fair Credit Reporting Act , Home Mortgage Disclosure Act and other federal, state and municipal laws and regulations, including those governing consumer financial privacy.
