Representative Experience
Renewable Energy: Represents project developers in connection with the development and financing of energy projects. Provides representation at all levels of project development including structuring the transaction and tax advice.
Drafts and negotiates primary project and financing documents. Representation includes drafting joint venture agreements, power purchase agreements, transmission service agreements, asset purchase and sale agreements, financing documents and all ancillary documents necessary to develop energy projects.
Federal and State Taxation: Represents energy project developers and businesses in connection with all aspects of federal tax planning and structuring. Specific experience includes federal renewable energy production tax credit (IRC ยง45), partnership tax matters, special allocation provisions in limited liability company agreements, and corporate tax matters.
Advises clients in connection with tax planning to minimize the impact of state and local taxes on businesses. Specific experience includes planning for business and occupation taxes, sales taxes, local utility taxes and real estate transfer taxes.
Business Transactions: Drafts and negotiates agreements and related documentation for the purchase or sale of a business. Drafts and negotiates letters of intent, confidentiality agreements, employment contracts, shareholder agreements, limited liability company agreements, corporate organizational documents, and other agreements necessary to complete the transaction at hand.
Finance: Represents energy project developers in connection with commercial borrowing and bond financing. Successfully assisted client raise $55 million through bond sale.
Drafts and negotiates financing documents and credit documents including, long-term commercial financing, lines of credit, letters of credit and security documents related to credit facilities.
Corporate Counseling: Advises clients on a myriad of corporate and business matters, including, new business formation, mergers and acquisitions, restructuring, joint ventures, as well as a wide variety of corporate transactions and counseling. Provides legal counseling to boards of directors and assists with drafting and implementing amendments to articles of incorporation, bylaws, corporate policies, anti-takeover provisions, as well as day-to-day corporate governance matters.
