Ame Wellman Lewis practices in the areas of business, corporate law, finance, real property transactions, and environmental law and compliance assistance.

Ame represents public and private companies in mergers and acquisitions transactions, including stock and asset sales, and counsels clients on entity formation, structure and corporate governance matters, and general business issues. She assists clients with private securities offerings, including debt and equity offerings, and with general corporate transaction documents. Her environmental experience includes state and federal Superfund laws, the Clean Water Act, the Resource Conservation and Recovery Act, and the Clean Air Act with regard to environmental and real estate due diligence, environmental indemnity agreements, permitting, and environmental compliance.

Aquaculture permits for Pacific Seafood

Represents major seafood company in permitting of salmon aquaculture sites. Previously represented other seafood companies on permitting of sites and related litigation, including citizen's suit and defense of permit appeals. (Ongoing)

Represent aquaculture trade association in challenge to County Shoreline Master Program. (Ongoing)

Private equity financing for Cascade Bancorp

Represented client in $177 million private equity financing and repurchase of trust preferred securities. (2011)

Sale of business for Mobiata, LLC

Represented Mobiata, LLC, a wireless travel application developer and provider, in the sale to Expedia, Inc. structured as a reverse triangular merger. (2010)

Sale of snack food business for Snakcorp Holdings, Inc.

Sale of subsidiaries, Snack Alliance and Nalley's Canada Limited, in an auction process to a private equity-backed producer and distributor of private label seasoned snack foods. (2010)

Acquisition for Apple American Group LLC

Acquisitions in California and Nevada for Apple American Group LLC, a restaurant holding company with more than 145 Applebee's franchised restaurants. (2009)

Sale of newspapers for The Seattle Times Company

Represented the client through the sale of Blethen Maine Newspapers, a group of three daily and additional weekly newspapers. (2009)

Sale of fishing vessels active in the Bering Sea Pollock fishery to American Seafoods. (2008)

Company counsel to The Relegence Corp. in $50 million acquisition by AOL, LLC. (2008)

Corporate finance for Confirma, Inc.

Represented a medical device software developer in a Series C Preferred Stock financing by Telegraph Hill Partners; a venture loan from Silicon Valley Bank and Oxford Finance Corporation; convertible debt financing from Versant Ventures, Prism Ventures, Fluke Ventures, and Northwest Venture Partners; and a strategic alliance with GE Healthcare.
