Broady Hodder’s practice focuses on corporate counseling, corporate finance, securities and business transactions. He has extensive experience representing private and public companies as well as investors in a wide array of matters, including venture capital and strategic financings, mergers and acquisitions, public offerings and complex corporate governance affairs.

Prior to rejoining the firm in 2014, Broady served for nearly nine years as senior vice president, general counsel and corporate secretary of Clearwire Corporation, a publicly-traded wireless broadband company that was sold to Sprint Corporation in 2013.

Representative Experience

Series A financing round led by The Pokémon Company International

Represented the lead investor in the $20 million Series A Preferred Stock financing of Niantic, Inc., a company in the gaming industry recently spun out from Google, Inc. (2015)

Proxy contest by founder of Acucela, Inc.

Represented the founder and largest shareholder of Acucela, Inc., a publicly-traded biotechnology company, in a successful proxy contest to replace the Board of Directors. (2015)

Sale of Clearwire Corporation*

Represented Clearwire in its sale to Sprint Corporation at an enterprise value of $14 billion, and the unsolicited competing tender offer for Clearwire by DISH Networks. (2013)

Initial public offering for Clearwire Corporation*

Represented Clearwire in its $600 million initial public offering (2007) and $734 million follow on public offering. (2011)

Equity investment in Clearwire Corporation*

Represented Clearwire in connection with a $1.5 billion equity investment from Sprint, Comcast, Time Warner Cable, Bright House Networks, Intel, and Eagle River and a related $300 million public rights offering. (2009)

Acquisition of Sprint’s wireless 4G business by Clearwire Corporation*

Represented Clearwire in the $14.5 billion merger of Sprint’s and Clearwire’s 4G businesses and concurrent equity investment in Clearwire of $3.2 billion by Comcast, Time Warner Cable, Bright House Networks, Google, and Intel. (2008)

Venture capital financing of Clearwire Corporation*

Represented Clearwire in a $900 million venture capital financing round led by Intel Capital and Motorola Ventures, which at the time was the largest venture capital financing in history. (2006)

Debt offerings for Clearwire Corporation*

Represented Clearwire in multiple debt offerings that raised over $6 billion in aggregate proceeds. (2005-2013)
