Jane Eckels practices in the areas of information technology and intellectual property, with a focus on e-commerce and information technology transactions. She has extensive experience structuring and negotiating complex IP licenses and commercial agreements involving software, hardware, Internet technologies, and services.

Practice Highlights

Health Information and Technology
Jane represents hospitals, practice groups, trade associations, nonprofit organizations, health care technology vendors and others in a full range of health information and technology matters, such as:\
  • Procurement and implementation of cloud-computing and traditional software, including clinical, finance, security, supply chain, HR, and operational solutions
  • Innovation and development of software, mobile apps, and new technologies
  • Information exchange and sharing arrangements for technology and data, including projects to extend use of EHR to community providers
  • Licensing and distribution of health technology products and services, including commercial offerings, distributors, dealers, and end-user terms and conditions
  • Data analysis services, including issues of compliance, ownership, use, confidentiality, privacy and security

E-Commerce and Technology Providers
Jane represents organizations developing and providing software, e-commerce solutions, cloud services, digital media, data, and other technology products and services in the full product lifecycle, from conception and development of new products, to marketing and distribution of launched offerings. Jane has significant experience in providing strategic advice and crafting related agreements tailored to each client’s legal and business needs, whether startups or multinational corporations, including:
  • Design and development projects, including joint development and other collaborations, proprietary, and open source projects
  • Licensing and acquisition of existing software, content, and data for use in product and service offerings
  • Intellectual property and data rights and ownership in employment, independent contractor, and developer agreements and in user-generated materials
  • Risk mitigation strategies and advice
  • Establishing standard business-to-business and consumer-facing offerings and negotiating more complex or specialized deals
  • Development of support and service level policies, including traditional on-premise software and cloud-based services
  • Licensing, bundling, and distribution, including dealers, sub-distribution, and end-user terms and conditions

Technology Procurement
Jane also represents a wide spectrum of organizations and industries in technology procurement projects, including mission-critical systems supporting key operations, products, and services. She assists clients on all aspects of a project, including RFPs and vendor selection processes, trial projects and pilots, contract drafting and negotiating, implementation and deployment, and contract compliance issues. Her work includes:
  • Software licensing, equipment leases and purchases, data products, content subscriptions, and professional services
  • Cloud-computing, including software as a service (SaaS), platform as a service (PaaS), infrastructure as a service (IaaS), and other web-based services
  • Complex solutions involving software, hardware, data/content, and cloud-based components
