Janet Murphy represents card issuers in the negotiation and documentation of private label, network, co-brand and endorsement agreements with retail, manufacturing, home improvement/remodeling and other industries. Janet also helps nonprofit health care institutions and other tax-exempt entities structure, draft, negotiate and close tax-exempt financing transactions and secured and unsecured loans. She advises clients in restructuring tax-exempt debt, in asset sales and in corporate restructures.

Representative Experience

Network agreements

Agreements for issuers to join networks (including previously closed-loop networks and mobile banking networks), strategic alliances between networks, network pricing and interchange agreements, and related transactions.

Private label and co-branded cards program agreements

Many agreements between major issuers and airlines, soft goods chains, bookstore chains, discount chains, pharmacy chains, lodging chains, online retailers and communities, oil companies, consumer electronics chains, home-improvement chains, closed-circuit TV networks, and others.

Tax-exempt financing transactions

  • Overlake School: Issuance of approximately $30 million of tax-exempt bonds.
  • Whitman College: Issuance of approximately $30 million of tax-exempt bonds.
  • Virginia Mason Medical Center: Issuance of approximately $400 million of tax-exempt and/or taxable bonds and related indebtedness.
  • Seattle Art Museum: Issuance of tax-exempt and taxable bonds to finance Olympic Sculpture Park and downtown Seattle museum expansion.
  • Huntington Memorial Hospital: Issuance of approximately $200 million of tax exempt bonds to fund and refund hospital projects.
  • Whatcom Community College: Issuance of tax-exempt bonds to acquire or construct college facilities.
  • Green River Community College: Issuance of tax-exempt bonds to acquire or construct college facilities.
  • University of Puget Sound: Issuance of tax-exempt bonds to acquire or construct college facilities.

Jan also assists her tax-exempt clients with pre-bond issuance planning and post-issuance bond compliance issues and related matters, including mergers, alliances and joint ventures, and asset acquisitions and sales.
