| Jon Dawson has extensive expertise in commercial transactions and mergers and acquisitions; real estate transactions; intellectual property matters; and commercial and general civil litigation. Jon also serves as general counsel for a number of companies in Alaska and the Pacific Northwest. Jon’s commercial/mergers and acquisitions experience includes negotiating and documenting major business acquisitions and asset purchase agreements, manufacturing and distribution agreements, and commercial and real estate loans. His real estate background ranges from commercial lease negotiations to building acquisitions to purchase/leaseback arrangements. His IP experience includes trademark, trade secret and copyright agreements, as well as major software licensing and distribution contracts. Jon has represented a wide variety of businesses in major litigation in each of his substantive areas of expertise, and frequently lectures on commercial law and intellectual property issues. Selected Experience Defended real estate brokerage against claims for breach of fiduciary duty, misrepresentation and breach of contract related to sale of property. (2008) Represented corporate purchaser in connection with contemplated acquisition of manufacturing facility, including real property interests. Represented Land Title of Alaska, Inc., in asset sale of title company, including title plant and leasehold interests. Represented buyer in negotiating and documenting acquisitions of retail fuel businesses and tank farms. Represented co-manager of hospital in negotiation and documentation of office building leases and staging yard lease. Represented Commercial Leasing, Inc., in connection with disputes under commercial leases. Represented Westward Seafoods, Inc., in preparing a commercial storage agreement. Represented Alaska Native Tribal Health Consortium, developer of the Alaska Federal Health Care Network (AFHCAN) telemedicine network, in the preparation of licensing agreements for telemedicine software, trademark applications for AFHCAN and tCONSULT goods and services, and various contract advice and preparation. Represented Alyeska Family Medicine in general corporate and contract matters in connection with medical practice. Represented Crowley Petroleum Distribution, Inc., in prepared commercial credit and sale documentation, general credit and collections advice, and negotiation and documentation of numerous account workout agreements. Represented international supplier of mobile, fabric-covered buildings in negotiation and documentation of multimillion-dollar domestic and international sale contracts, supply contracts, marketing and distribution agreements, and product development agreements. Represented supplier of mobile hospital and surgical facilities in domestic and international commercial sales agreements, and marketing and distribution agreements. Represented developer of state-of-the-art telemedicine network in preparation of software licensing and hardware sales agreements and other licensing and distribution agreements. Represented organizer of the Iditarod Trail Sled Dog Race in negotiating and documenting agreements with production companies over filming and distribution rights for productions featuring the race, including copyright and trademark issues.
