Lisa Hayward counsels health systems, hospitals, medical groups and other health care providers across a range of regulatory compliance and transactional issues. Lisa is leading Hawai’i Pacific Health’s legal team in support of the formation of Hawaii’s first accountable care organization in collaboration with the state’s largest commercial payor. She has worked closely with HPH executive leadership, its project management team and consultants to navigate the challenges of ACO development. Lisa helped HPH develop a legal work plan that addresses the necessary steps for implementing the new ACO, structured as a clinically integrated physician-hospital organization.

- Corporate governance structures that comply with state and federal laws
- Participation agreements between the ACO and participating physicians, hospitals, other providers
- Achieving financial and clinical integration in accordance with Federal Trade Commission guidance
- Legal constraints regarding allocation models for the distribution of pay-for-performance dollars and earned/shared savings
- Governance and payment structures consistent with participation with Medicare Shared Savings Program
Lisa assisted Carena Inc. in developing CareSimple, a "virtual clinic" that offers patients lower-cost medical care via webcam or phone in California and Washington by overseeing all legal aspects of the project, including health care licensing, state-specific laws regarding corporate practice of medicine, telemedicine restrictions, and insurance regulations.Regulatory compliance, EHR arrangements and meaningful use
Lisa advises her clients on regulatory compliance issues, including physician self- referral, fraud and abuse concerns and state licensing matters. She also assists clients in conducting internal investigations of potential compliance issues, developing corrective action plans and making voluntary disclosures to the government. Lisa develops and negotiates numerous agreements for providers in conjunction with her compliance work, including employment and consulting agreements, recruitment arrangements and payor contracts. Lisa has significant experience evaluating if a project is subject to certificate of need review and has represented clients through all phases of the CN process. She partners with her clients and their consultants to to develop effective strategies when applying for and defending applications.
