Mark Nelson focuses his practice on real estate law, including handling acquisitions, dispositions, and development matters. He has worked with many types of real estate, including hotel, resort, office, retail, industrial, multifamily, condominium, and mixed use projects.

Mark also structures, negotiates, and documents complex real estate construction and permanent financings, as well as complex loan asset sales, loan workouts, foreclosures, and deeds-in-lieu of foreclosure. He represents institutional and private clients, including life insurance companies, major domestic and foreign banks, developers, and investment advisers. Among his clients are Cornerstone Real Estate Advisers and Westport Capital Partners.

Mark and his team, representing six lenders, have closed more than 100 affordable housing financing transactions over the past five years (including both construction and permanent financing transactions, tax exempt multifamily bond purchases, and 4 and 9 percent credit transactions).

Mr. Nelson is a frequent speaker at the Los Angeles County Bar Association and other continuing education programs.

Represented agent lender in connection with a $120 million syndicated letter of credit financing provided to a prominent affordable senior housing developer secured by properties located across the country. (2011)

Represented a developer in the restructuring of over $400 million of mortgage debt secured by 20-plus properties located across the country. (2011)

Real estate acquisition and development for pension fund*

Represented pension fund in connection with proposed acquisition (by ground lease), development and construction, in joint venture with its developer partner, of a mixed use project in Hollywood, Calif. containing over 1,000 apartments and 175,000 square feet of retail space. (2010)

Sale of hotel real estate*

Represented seller of 487-room Sheraton Hotel in Los Angeles. (2010)

Joint venture for an investment group*

Represented investment group in connection with its formation of a joint venture with a national bank to acquire, manage, service, and dispose of a pool of distressed national commercial mortgage loans, with the bank holding a non-managing joint venture interest in its own pool (and considered to be one of the very first of its kind). (2008)

Acquisition and development for hotel developer*

Represented developer in connection with acquisition, development, construction and financing of a five-star resort in Anguilla. (2006)

Real estate acquisition and transactions for hotel in Mexico*

Represented developer in connection with (a) acquisition, construction and financing of five-star condo hotel resort development on Mexican Rivera (b) in connection with the formation of a development joint venture for the resort with one of Spain’s largest development companies, and (c) in connection with the sale of equity interests to a private equity investor. (2005-2006)

Acquisition of high-rise condominium for pension fund*

Represented pension fund in connection with its acquisition, with its partner, of a 90-unit luxury boutique condominium project in Walnut Creek, Calif.

Purchase of multifamily housing revenue bonds*

Represented national bank in connection with its purchase of tax-exempt multifamily housing revenue bonds secured by a 255,000 square foot 23-story high-rise affordable housing project in San Diego.

Purchase of office building*

Represented pension fund in connection with its purchase of a 175,000 square foot, 14-story CBD office building in St. Louis.
