Steve Greenwald’s practice has focused for more than 30 years on energy transactional, regulatory, and dispute resolution matters at the state and federal levels. He assists clients with debt and equity financing, acquisitions, power purchase and sale agreements, obtaining regulatory approval for power purchases, and utility rate and certificate proceedings. Steve's clients include geothermal, biomass, wind, solar and natural gas power projects and financing parties; regulated electric utilities and oil pipeline companies; independent power producers; large electric consumers; and power marketers.

Steve is a frequent speaker and commentator on alternative energy development and other energy business topics.

Negotiation of power purchase agreements

Representation of Kern River Cogeneration Company and Sycamore Cogeneration in negotiating various power purchase agreements resulting from California Combined Heat and Power solicitations. (Ongoing)

Regulatory - electric for Calpine Corporation

Representation of various qualifying facilities and other generators owned by Calpine Corporation in regulatory proceedings, commercial negotiations and disputes. Representation includes providing regulatory opinions on over a billion dollars' worth of project financings. (Ongoing)

Regulatory counsel through numerous acquisitions and financings of wind, solar, biomass, and geothermal generating facilities. (Ongoing)

Mergers & acquisitions for Algonquin Power & Utilities Corp.

Formed a new investor-owned electric utility, Liberty Utilities (CalPeco Electric) consisting of electric utility assets (in the Lake Tahoe area of California) previously operated by Sierra Pacific Power Co. Lead counsel in sale of Hercules Municipal Utility.

Litigation

Successfully defended power seller in mediation against purchasing utility relating to power seller’s response to utility request for offers to sell power.

Negotiated power purchase agreement for the largest biomass project to be constructed on the West Coast in over a decade. (2008)

Resolution of commercial dispute

Served as mediator in large commercial dispute involving a cogeneration facility and its steam host. (2008)
