James Black focuses his practice on the purchase, sale, licensing and financing of intellectual property and business entities involving IP property assets, as well as on outsourcing transactions. Jim’s practice includes providing counsel to technology and non-technology clients in complex transactions including mergers and acquisitions, joint ventures, licensing and development agreements. He also is counsel to providers and purchasers of business process and IT outsourcing services, assisting clients with the RFP process, and with the structure and negotiation and documentation of domestic and international outsourcing transactions.

  • Representing AmpTech, Inc. in purchase of assets of WJ Communications, Inc.
  • Representing major consumer technology company in semiconductor design and fabrication transactions with Chartered Semiconductor Manufacturing Ltd., Taiwan Semiconductor Manufacturing Company, Ltd. (TSMC), Silicon Integrated Systems Corp. (SIS), NEC Electronics Corporation and others
  • Representing major semiconductor technology company in IP Block design and license transactions, strategic alliance transactions, and design and license transactions
  • Represented Molina Healthcare in $135 million purchase of Unisis's health information management system (HIMS) assets, including the HIMS technology and the ongoing Medicaid processing operations in several states
