John W. Hanley, Jr.

John Hanley is a transactional lawyer with substantial experience in a broad range of real estate, corporate, commercial, finance and energy matters. He currently focuses his practice in the real estate, health care and energy industries, where he represents investors, lenders, developers and operators of many kinds of real estate assets, medical facilities and electric power projects.

Real Estate Industry Experience

Purchases and sales
Active in real estate markets in the western United States for more than 25 years, representing purchasers and sellers of all classes of real estate assets, including Class A office towers in Seattle, Bellevue, Portland, San Francisco and Denver; multifamily properties; shopping centers and retail properties; warehouses; timberlands; and agricultural properties.

Real estate funds and joint ventures
Experienced in formation, restructuring and termination of private equity funds for investment in real estate assets, including formation of four funds for leading privately held Pacific Northwest real estate operating company, and other complex ownership and investment arrangements.

Represented capital partner in negotiation of joint venture for site acquisition and design, development and construction of 250-unit, 30-story mixed-use project in downtown Chicago.

Represented operating partner in formation (and subsequent restructurings) of joint ventures for acquisitions of largest Class A office buildings in states of Oregon and Idaho.

Mortgage and other real estate debt financing
Primary counsel to third-generation private real estate company in numerous mortgage and mezzanine loan financings and refinancings of client’s portfolio of office, rental and multifamily assets.

Representation of institutional owner of destination regional shopping center in $220 million non-recourse financing.

Representation of first mortgage lender and co-investor in workout acquisition of Silver Creek, a 500-acre, 1,600-lot master planned community in Pierce County, Wash.; completion of permitting and infrastructure improvements; phased disposition of asset.

Completion of $115 million term loan secured by client REIT’s portfolio of multifamily properties in the Pacific Northwest; associated initial public offering of client’s common stock.

Real estate workouts and foreclosures
Representation of foreign bank in acquisition and restructuring of substantial portfolio of distressed office and commercial loans to major Pacific Northwest developer.

Counsel to joint venture partner/subordinate lender in exercise of remedies, restructuring, recapitalization, further entitlement and ultimate disposition of Pierce County master planned community (500 acres, 1,600 lots).

Counsel to national bank in restructuring of eight distressed real estate loans secured by strip shopping malls owned by affiliated partnerships in Washington, Oregon, and Idaho.

Representation of managing partners in restructuring of joint venture and associated first mortgage financing for historic office building in Portland, Ore.

Leasing and ground leases
Negotiation of numerous office leases for building owners and anchor tenants.

Representation of ground lessee of Metropolitan Tract, a 10-acre parcel in downtown Seattle containing 1.6 million square feet of office and retail space in seven buildings.

Health Care Industry Experience

Representation of operator in purchase and later sale of multiple medical office buildings in Washington and Oregon.

Representation of real estate operating company in formation of joint venture with medical office building REIT.

Counsel to consortium of six health care provider organizations in negotiation of joint venture with national REIT for development, construction, financing and use of multistory, multi-tenant medical office building.

Representation of regional hospital system in development of on-campus four-story medical office building by commercial developer based on long-term ground lease.

Real estate counsel to public hospital in build-to-suit lease for on-campus cancer care center to be generated by non-affiliate.

Counsel to purchaser of federal public hospital.

Energy Industry Experience

Renewable energy
Representation of national solar power developer in formation of joint venture with solar panel manufacturer for the development of utility-scale solar photovoltaic power projects.

Representation of renewable energy project owner in long-term sale of electricity produced by QF generating facility, fueled by landfill gasses, to regulated regional utility.

Project finance
Representation of investor-owned utility in acquisition, operation and secured tax-exempt financing ($100 million) for Alaska hydroelectric power facilities; negotiation of supplemental secured tax-exempt financing.

Representation of purchaser of 20 MW cogeneration electric power plant in formation of equity joint venture and planning for project finance.

Representation of national company in sale/leaseback transaction of existing infrastructure assets.
