Jon has extensive experience in commercial, mergers and acquisitions (M&A), and intellectual property (IP) matters. He has served as general counsel for a number of companies in Alaska and the Pacific Northwest. He is ranked by Chambers USA as one of the best M&A/commercial and real estate attorneys in Alaska, and by Best Lawyers in the areas of mergers & acquisitions and litigation, banking & finance litigation, and real estate. He is also Co-chair of the IP Section of the Alaska Bar Association.

Jon’s business transactions experience includes negotiating and documenting major business acquisitions and asset purchase agreements, commercial and real estate loans and acquisitions, manufacturing and distribution agreements, and a wide variety of commercial contracts. His clients include manufacturers and distributors, fuel companies, professional corporations, Alaska Native corporations, and health care entities.

Jon’s IP experience includes trademark, trade secret and copyright agreements, as well as major software licensing and distribution contracts. He represents a wide range of clients regarding their business IP.

Represented bulk fuel supplier in negotiation and documentation of complex, multi-million dollar agreements for vessel construction management, vessel capital lease-back and purchase, and bulk fuel sale supply.

Arctic Crossroad Holdings, Inc.

Represented seller and its shareholder in negotiation and documentation of complex, owner-financed, multi-million dollar sale of business involving airport ground lease, office building, fueling facility, and associated assets.

Great Circle Flight Services, LLC

Represented seller and its members in negotiation and documentation of complex, owner-financed, multi-million dollar sale of aircraft fixed base operations and associated assets.

Alaska Structures, Inc.

Represented one of the world’s leading suppliers of fabric-covered buildings in connection with numerous domestic and international commercial contracts valued in the millions of dollars; documentation of international marketing and distribution agreements.

USKH Inc.

Represented one of Alaska’s premier engineering firms in negotiation and documentation of acquisition of environmental engineering firm.

Crowley Petroleum Distribution, Inc.

Represented major bulk fuel supplier in preparing commercial credit and sale documentation; general credit and collections advice; and negotiation and documentation of numerous agreements.

IP and technology transactions

Alaska Native Tribal Health Consortium

Represented client and co-manager of Alaska Native Medical Center, in negotiation and documentation of multi-million dollar software acquisition.

Alaska Federal Health Care Network (AFHCAN)

Represented developer of a statewide, state-of-the-art telemedicine network, in connection with preparation of licensing agreements for telemedicine software; trademark applications for portfolio of trademarks used with AFHCAN and tCONSULT goods and services.

Iditarod Trail Committee, Inc.

Represented organizer of world-famous, annual Iditarod Trail Sled Dog Race in negotiating and documenting agreements with major production companies for filming and distribution rights featuring the Iditarod Race, including copyright and trademark issues; general trademark and copyright advice and assistance.
