Introduction
DWT's Antitrust Group represents clients in
all aspects of antitrust litigation. Our lawyers have handled large
class actions and have represented both plaintiffs and defendants.
We can provide antitrust counseling and analysis, including antitrust
market concentration analysis, Hart-Scott-Rodino Act compliance and
related dealings with the Antitrust Division of the Department of
Justice, the Federal Trade Commission and coordination of foreign
premerger requirements for national and international mergers and
acquisitions in many industries including energy, the newly deregulated
electricity market, construction and high technology. Equally important,
we also counsel our clients on how best to structure transactions
that will accomplish business objectives and avoid costly antitrust
litigation.

Range of Services Offered
Mergers
and Acquisitions
Davis Wright Tremaine counsels clients on all antitrust considerations
attendant to a merger or acquisition. With the increasing involvement
of the State Attorney Generals in antitrust matters, this representation
often involves working with the staff of the State Attorney General's
antitrust section to avoid a challenge to a proposed merger or acquisition
and, on occasion, defending against a Clayton Act challenge brought
by the State in federal court.
Our lawyers counsel clients on Hart-Scott-Rodino matters, prepare
premerger notification filings where necessary, and respond to second
request letters from the federal antitrust enforcement agencies.
Investigations
and Grand Juries
Lawyers at Davis Wright Tremaine have extensive experience representing
clients in investigations by the antitrust enforcement authorities
and before grand juries. We have represented companies and individuals
in civil investigations conducted by the Attorney Generals of Washington
and Alaska, as well as before grand juries empaneled by the Department
of Justice to investigate criminal violations of the antitrust laws.
Counseling
Our lawyers counsel national and international clients on antitrust
and trade regulation matters. Clients we represent are drawn from
all sectors of the economy. They include clients involved in manufacturing,
pharmaceuticals, real estate, timber, oil and gas, transportation,
entertainment, print and electronic media, advertising, banking,
health care, and recycling and garbage, among others.
Our goal in counseling is to find a way for our client to structure
a transaction so as to accomplish its business objectives without
incurring significant risk of antitrust litigation.
