Representative Transactions

  • Negotiation of power purchase, transmission, gas supply and gas transportation agreements on behalf of project developers.

  • Negotiation of electric and natural gas interconnection agreements for over 3000 MW of new merchant electric generating facilities within California, Arizona and Nevada.

  • Negotiation of the nation’s first wholesale electric contract between a power marketer and a total requirements customer.

  • Development and negotiation of retail electric supply arrangements between customers and marketers.

  • Negotiation of a pioneering agreement providing a power marketer network transmission service from Pacific Gas and Electric Company.

  • Negotiation of restructuring of 130 MW power purchase agreement with Pacific Gas and Electric Company and obtaining regulatory approval for the transaction.

  • Representation of seller of a 160 MW cogeneration facility in Washington.

  • Development of an "electric bypass" transmission strategy for a major energy user in western Washington, resulting in customer annually saving several millions of dollars.

  • Transaction of the first direct access purchases of power supplies in Oregon on behalf of industrial customers served by Portland General Electric Co.

  • Negotiation of partial-requirements power purchase contracts and associated wheeling contracts, enabling publicly-owned utilities to cease purchasing their entire wholesale requirements from Bonneville Power Administration.

  • Negotiation of scheduling/brokerage contracts to enable utility to reduce its power-supply costs.

  • Representation of the purchaser of a gas marketing company.

  • Providing Public Utility Holding Company Act advice to an investment company investing in public utility companies.

  • Representation of California municipal utility in obtaining rights to sell power in investor-owned utility’s service territory.

  • Representation of project developers in the drafting and negotiating of power purchase agreements; credit support arrangements; engineering, procurement and construction contracts; fuel purchase, transportation and management agreements; O & M agreements; and security agreements.
