Mergers, Sales, Acquisitions, Affiliations and
Reorganizations
Although the health care industry is no longer caught up in the
frenzy of horizontal consolidation and vertical integration of health
care finance and delivery that characterized the late 1990s, affiliation
and reorganization transactions continue in the industry. These
transactions include mergers and acquisitions of health care providers
and facilities, the formation of joint ventures to develop and operate
facilities or to own major medical equipment, and the restructuring
or termination of prior affiliation transactions. Davis Wright Tremaine's
attorneys in the Health Law Group have extensive experience with
all aspects of these transactions.
Our attorneys have been involved in a number of ground-breaking
transactions, including:
- Merging five separately licensed health plans (both tax-exempt
and taxable) doing business in two states.
- Merging tax-exempt hospitals and multi-institutional systems
in numerous states, providing critical tax and corporate advice,
restructuring corporate debt, and advising on Medicare and Medicaid
recapture.
- Forming and consolidating physician organizations and affiliated
entities, including independent practice associations, group practices
without walls, integrated medical groups, group practice-related
management service organizations and tax-exempt clinics.
- Serving as special counsel to a number of national health plans,
including Blue Cross/Blue Shield plans and publicly traded HMOs,
with respect to development of physician relationships through
the formation of staff models or management services organizations.
The Health Law Group has organized an interdisciplinary health
care mergers and acquisitions working group highly experienced in
antitrust, tax, corporate, employee benefits, employment law, real
estate and environmental law, as well as the traditional health
law disciplines, to advise in such transactions. The firm is able
