Allison May

Allison counsels clients on credit card and payment systems transactions and transactions designed to leverage intellectual property (and data sharing, in particular) and information technology within the financial services industry. Her clients include credit card issuers and acquirers, established technology companies, and new entrants into the payment systems space. Allison has more than a dozen years of experience representing her clients in the negotiation and documentation of commercial arrangements of all kinds, including among others program agreements for private label and co-branded credit cards, processing agreements, joint venture agreements, network branding agreements, technology licensing agreements and collaborations, and portfolio purchase and sale transactions.

Representative Experience 

Co-brand and Private Label Programs
  • Represents issuers in co-branded and private label program agreements with airline, big box, and specialty retailers (including advising clients on RFP responses)
  • Particular experience negotiating nontraditional, highly complex provisions governing data rights and ownership

Acquiring and Processing
  • Represents acquirers in negotiation of arrangements with processors (including both joint ventures and revenue sharing agreements)
  • Represents acquirer-processor alliances in negotiation of acceptance agreements (both with networks and with technology companies offering new form factors)

  • Represents issuers in negotiation of network branding and pricing agreements for proprietary credit and debit cards
  • Represents issuers in negotiation of network support agreements for co-branded card portfolios

Technology Collaborations
  • Represents financial institutions and technology companies in negotiations for cross-marketing arrangements, collaborations to enable new form factors, and agreements for the offering of rewards platforms and other consumer enhancements (including white label arrangements)
  • Represents issuers in negotiations with networks for development of new technologies (including mobile technologies)

Portfolio Purchases and Sales
  • Represents issuers in the purchase and sale of card portfolios (including negotiating interim servicing arrangements)
  • Advises issuers on strategies for winding down with co-brand partners upon portfolio divestitures

  • Advises on the development and negotiation of partnership and promotion agreements in connection with loyalty programs
  • Advises financial institutions on vendor management issues (including negotiating master services agreements)
