Peter S. Johnson

Pete assists clients with complex, domestic and international financial, commercial, and technology transactions and has extensive experience supporting new product development, cloud, e-commerce, mobile commerce, and supply chain initiatives. Pete regularly advises clients on emerging payments and wireless communications products, infrastructure and technology acquisition transactions, strategic distribution and channel arrangements, seller financing arrangements, and operations and procurement matters.

Pete has served as a member of the firm's executive committee, partner admissions, and share committees and served for many years on the firm’s hiring committee. Pete is also a member of the Board of Directors and strategic planning committee of Food Lifeline, a nonprofit organization that sources and distributes food to food banks and other organizations in Western Washington.

Representative Experience

E-Commerce and Mobile Commerce

  • Served as primary outside transactional counsel in connection with the launch of an online health platform.
  • Represented wireless communications provider in connection with the negotiation of a hosted data management system.
  • Represented wireless communications provider in connection with the negotiation of significant transactions with device manufacturers 
  • Represented e-commerce client in connection with launch of domestic and international retail stores and the negotiation of an outsourced services arrangement relating to the hosting and operation of those stores.
  • Represented e-commerce client in connection with the acquisition of a payment processing platform to support online properties.
  • Structured and negotiated a license and services agreement relating to the acquisition of a trusted service manager platform for a mobile payments client.
  • Represented cloud services client in the development of a white-labeled content delivery network (CDN) offering for enterprise customers.
  • Represented merchant acquirer in connection with strategic transactions relating to SaaS-based point of sale technology.

Acquiring, Payment Processing, Gateway and Other Financial Services Arrangements

  • Structured and documented a global merchant acquiring relationship with a major international financial institution on behalf of an e-commerce client.
  • Drafted and negotiated a payment gateway agreement for multi-national retail client.
  • Prepared and negotiated a distribution agreement for gateway services for financial services client.
  • Negotiated numerous private label credit card, gift card and stored value card agreements for financial services and retail clients.
  • Worked with financial institution, retail and mobile wallet clients to develop and implement loyalty programs and gift card programs.

Technology Partnering Transactions

  • Developed and negotiated agreements for client's electronic distribution of software to wholesalers and retailers in the United States, Europe and Latin America.
  • Negotiated mobile virtual network operator (MVNO) and other wireless communications agreements for wireless carrier.
  • Developed and negotiated agreements for the manufacture and distribution of point-of-sale-activated software products for large, software company client.
  • Negotiated transactions for the development and commercialization of integrated point of sale solutions for small and medium sized business customers.
  • Advised clients in various industries regarding the creation and implementation of affiliate programs to market software products and online offerings.

Supply Chain Issues

  • Negotiated a manufacturing and distribution arrangement with manufacturer of certificates of authenticity and other anti-piracy technology.
  • Negotiated a manufacturing, assembly and fulfillment arrangement relating to CDs and DVDs for software company client.
  • Represented software company in connection with its acquisition of anti-piracy technology and components from European developer.
  • Represented robotics client with negotiation of contract manufacturing and component purchase agreements.
  • Represented wireless carrier in negotiation of numerous supply chain agreements, including fulfillment and logistics, repair and refurbishment, warehousing and other agreements.
  • Assisted regional and multinational aerospace clients in the creation of template supply chain and manufacturing agreements and the negotiation of supply chain and manufacturing arrangements with end customers and other suppliers.

Seller Financing Programs

  • Assisted captive financing company with global restructuring of its business, including the negotiation of multiple strategic vendor relationships.
  • Structured, documented, and negotiated private label vendor finance programs in the United States, Europe, Australia, Korea, and Brazil on behalf of multinational technology company client.
  • Developed embedded financing offering for software client.
  • Negotiated factoring arrangements to facilitate sales of resulting trade receivables to financial services provider.
  • Assisted in the development and implementation of a financing program for cloud-based software purchases.
