Patrick Ferguson helps clients identify new commercial opportunities, close transactions, and navigate regulatory complexities created by the transformation of the electric power grid. He represents power producers and community choice aggregators in wholesale and retail energy market transactions; solar, wind, and energy storage project sponsors in site acquisition, transmission, and utility and corporate power purchase agreements; and producers of new technologies involving renewable fuels, green hydrogen, and carbon offset credits in drafting and negotiating key commercial transactions.

His practice encompasses energy policy, project development, and energy-related transactions in California and throughout the Western United States, with particular focus on commercial contracting, dispute resolution, and regulatory policy involving the California Public Utilities Commission (CPUC), California Independent System Operator (CAISO), and the California Energy Commission (CEC). He has represented Calpine Corporation, Geysers Power Company, TransWest Express and Power Company of Wyoming, Apple, Apex Energy Solutions, RAI Energy International, Sensa Holdings, OhmConnect, Chevron USA, Natural Capital Exchange, East Bay Community Energy, Clean Power Alliance of Southern California, Marin Clean Energy, Bear Valley Electric Service, and Liberty Utilities.

Practice Highlights

Energy, resource adequacy, and carbon transactions

Drafting and negotiating various types of wholesale energy and capacity market contracts between independent power producers and California load-serving entities; carbon offset purchase and sale agreements; and credit, collateral, and financing agreements to facilitate energy market transactions.

Renewables development

Assisting on the development, commercial contracting, financing and regulatory approvals for 1,000s of MW of solar, wind, geothermal, and storage resources throughout the western US. Patrick applies his knowledge of energy project development to assist clients with diligence, negotiations, and legal opinions on a variety of transactions including joint ventures, asset and membership interest acquisitions, and project development and finance.

CPUC energy policy and certificate proceedings

Representing clients in all major California energy regulatory proceedings involving resource planning, resource adequacy, energy storage, and distributed energy resources. Local counsel for purchase, transfer of control, and certificate proceedings involving regulated transmission, pipeline, and electric assets in California.
