Scot Tucker has been helping financial institutions structure, negotiate, and document payment systems-related transactions for more than 20 years. Although he has documented a wide variety of transactions over that time, he has a particular emphasis in private label and co-brand/network program agreements. In addition to his work at the front-end of payments transactions, Scot also advises financial institutions in the acquisition and sale of account portfolios, as well as in connection with their rights following the bankruptcy of a program agreement counterparty. Along with issuers, he represents acquirers/processors in various types of transactions.

Scot brings a well-informed market perspective to each transaction. He has worked across from and with most of the consultants and law firms that are active in the payments space and has negotiated agreements within a wide array of verticals, including online and brick-and-mortar retail, airline, travel, healthcare, hotel, oil and gas, manufacturing, telecom, technology, and sports and entertainment. Based on this experience, Scot works with his clients to create solutions to challenging issues that allow the transaction to move forward while protecting the client’s interests.

Scot is currently the co-chair of DWT’s Consumer Financial Services Transactional Practice.

Practice Highlights

Cobrand form creation

Working with issuer and its consultant to reimagine existing form of cobrand agreement to better position the business to compete in the market and reduce friction in the sales cycle.

Agent bank platform

Assisting specialty issuer in connection with standing up an agent bank platform, including negotiation of consulting agreement and processing agreement, as well as creating a form purchase and sale agreement and a form agent bank program agreement.

POS portfolio acquisition and integration

Assisting issuer with the acquisition and integration of a multi-billion dollar point-of-sale consumer portfolio into an existing consumer credit program, including provisions for interim servicing and a cutting-edge approach to underwriting.
