William L. Weigand

Bill Weigand chairs the firm’s Family Business Practice. He provides strategic counsel to businesses, particularly in the food, agribusiness, manufacturing, and distribution industries. Many of Bill’s clients are multi-generational, family-owned businesses. He takes the time to learn the nuances of each client's business and tailors his advice accordingly.

Half of Bill's practice consists of advising clients in major transactions, such as mergers, acquisitions, financings, and joint ventures. The other half of Bill’s practice focuses on serving as trusted advisor and outside general counsel for privately-held businesses. Bill regularly advises businesses on succession planning, corporate structures, sourcing and distribution methods, complex contracts, and other challenges facing his clients.

Bill's clients include: Bybee Foods, Frank J. Martin Company, Frontier Door and Cabinet, R. Munn Farms, Seattle Gourmet Foods, Spectralux Avonics, Sunheaven Farms, and Wonderware Pacwest.

Representative Experience

Manufacturer finance

Represented a potato processing plant in debt refinancing. (2016)

Purchase of manufacturing business

Represented family owned business in receivership buyout of commercial cabinet and casework manufacturer. (2016) 

Purchase of specialty food business

Represented the buyer of an organic gourmet mushroom product business. (2016)

Sale of frozen vegetable business

Sale of family-owned processing plant and branded frozen vegetation business in two step sale/lease/purchase option transaction. (2013 and 2014)

Succession planning

Counseled integrated farming operation on management and ownership succession from second to third generations. (2013)

Business divorce

Successful multi-year untangling of long-term business ventures in self-storage and land development, including negotiations with multiple lenders and five lawsuits. (2011-2015)

Business ownership interest acquisition

Redemption of 50 percent owner’s interests in international software distribution and service business. (2011)

Family-business ownership acquisition in bankruptcy

Purchase of ownership interests in various family-business enterprises from bankruptcy trustee; negotiation of global settlement, including successful resolution of multiple litigation claims. (2011)

Financial restructuring for LC Hotels

Represented investment group in successful financial restructuring, without which the project faced possible foreclosure or bankruptcy and continuing disputes with its construction contractor. Successfully negotiated debt financing of the property and managed capital infusion and reduction of liabilities against the property through a negotiated settlement. (2011)

Agricultural finance

Non-bank lender representation in $50 million secured debt financing for vegetable processing joint venture. (2010)
