Drake Glesmann primarily focuses his practice on representing emerging companies and entrepreneurs throughout all stages of their lifecycles. As primary outside counsel, he advises clients on formation, venture and growth equity financings, mergers and acquisitions, and other corporate and governance matters.

Drake represents private issuers, venture and private equity funds, alternative lending institutions, and strategic investors across various asset classes in domestic and cross-border transactions ranging from pre-seed through late-stage equity financings and capital formation, recapitalizations and restructurings, mergers, business combinations, asset and stock purchases and sales, and other strategic transactions. Drake also serves as primary outside counsel to numerous emergent growth enterprises operating in New York, California, and the greater Pacific Northwest.

Practice Highlights

Emerging companies and venture capital

Represented venture-backed private issuers with raising over $250 million in aggregate enterprise value; represented domestic and international venture capital and private equity funds in connection with the deployment of single- and multi-tranche investments valued in excess of $160 million.

Mergers and acquisitions

Represented private companies in connection with domestic and cross-border M&A transactions valued in excess of $2.8 billion in consolidated enterprise value.

Corporate governance and securities transactions

Served as primary outside counsel and board advisor to private businesses across technology, heavy industry, transportation and new space industry sectors in connection with tender offer processes, recapitalizations, convertible debt and equity issuances, bridge financings and activist shareholder threats.
