Bill Schuerman's practice centers on the development, licensing, and commercialization of technology, data, and intellectual property rights. He advises clients on a range of complex technology transactions, including licensing, development, collaboration, SaaS, resale and distribution, and services agreements.

Bill's practice includes the representation of both established and emerging growth companies in a diverse range of technologies and businesses, including artificial intelligence, cloud services, cybersecurity solutions, data analytics and management, financial services, fintech, government services, IoT, and software.

Bill also advises clients regarding enterprise realignment and optimization transactions, including sourcing and procurement initiatives, strategic alliances, and joint ventures. This work includes structuring and negotiating information technology, business process, and finance and accounting outsourcing transactions.

Bill, in addition to the above, advises clients on the intellectual property aspects of merger, acquisition, asset sale, and financing transactions, negotiating intellectual property terms and ancillary license and services agreements, and evaluating the intellectual property portfolios of companies.

Practice Highlights

Cloud services and data agreements

Handled sales, licensing, privacy, and security issues in complex transactions for cloud service providers and customers purchasing cloud services, including data-centric solutions and IoT and AI deployments. Additional experience in advising cloud service providers in designing and negotiating structures and agreements to enable direct and indirect sales and distribution of bundled, white-labeled or other complex cloud solutions.

Fintech and network deals

Assisted financial institutions, networks, and technology companies in structuring and negotiating agreements for new products and technology offerings in the fintech space, including customized payments platforms for merchants and cardholders, B2B payments products for commercial users, and consumer-facing banking tools.

Strategic relationships

Represented technology companies in strategic alliances, collaborations, and joint ventures, including a licensing transaction for the deployment of a client's enterprise database products as part of a multinational technology company's core cloud services platform, a teaming arrangement for the integration of a client's mobile device security platform with a hardware manufacturer's portable devices, and acquisitions and integrations of technology assets and product lines.
