Evan Shapiro is a partner in Davis Wright Tremaine's technology transactions practice. He advises Fortune 50 and other large enterprise clients on complex commercial transactions involving artificial intelligence, outsourcing and managed services, enterprise hosted service and software platforms, hardware and logistics arrangements, payments and fintech, and telecommunications.

Evan counsels enterprise clients on the structure and negotiation of complex technology transactions involving emerging platforms, operational risk, and evolving governance considerations. His practice focuses on data rights, intellectual property, service performance, pricing and commitment structures, and pragmatic approaches to risk allocation.

He regularly supports both bespoke negotiations and broader contracting initiatives. His work helps clients establish scalable, repeatable agreement frameworks that enable efficient procurement while maintaining consistent positions on risk management, data protection, and intellectual property across large organizations.

Practice Highlights

Artificial intelligence and emerging technology

Structure and negotiate agreements supporting enterprise deployment of artificial intelligence and other emerging technologies. Work includes model access and use rights, data restrictions and training limitations, intellectual property ownership, and governance frameworks addressing evolving operational and regulatory risks.

Enterprise technology transactions and outsourcing

Advise on complex enterprise technology transactions, including enterprise software and hosted services agreements, large-scale outsourcing and managed services engagements, and telecommunications arrangements. Matters frequently involve service-level frameworks, governance structures, pricing and commitment models, and transition and exit rights.

Fintech and payments

Represent clients in transactions involving payment processing platforms, gateway and hardware enablement, and fintech integrations. Work in this area often addresses transaction economics, data security frameworks, and encryption and key management services, including custody, lifecycle management, and PCI-related obligations.
