As former general counsel and executive officer of a publicly traded commercial lab system, with over a decade’s experience working as in-house legal counsel, David Gee brings both legal and business perspectives to our clinical, molecular, and pathology laboratory clients. David leverages that in-house experience to keep his legal guidance focused and practical, despite the uncertainty and complexity of applicable federal and state fraud and abuse laws, Medicare and Medicaid requirements, HIPAA and healthcare privacy laws, and CLIA certification and state licensure rules. David also strives to bring common sense and careful creativity to clients’ strategic transactions and routine business operations. David’s experience managing hundreds of outside lawyers and their legal bills helps to assure that his team delivers efficient legal services to his clients.

David not only serves as principal outside counsel to many clients, but also assists clients with a wide array of legal projects, ranging from nine-figure strategic transactions (mergers and acquisitions and joint ventures) to routine contract drafting and negotiations. His work also includes helping clients develop and maintain effective compliance programs. With the support of DWT’s many specialists, David also helps to defend clients against criminal and civil healthcare fraud and abuse investigations as well as Medicare, Medicaid, and private health-plan audits.

Laboratory compliance programs

Helping lab clients develop and implement comprehensive corporate compliance programs and policies, and assisting clients to prepare and present compliance training. Also providing guidance and direction to aid lab clients with internal and external compliance investigations and consequent corrective action.

Laboratory mergers and acquisitions

Assisted clients with more than $1 billion in lab mergers and acquisitions, with individual deals ranging from a few million to hundreds of millions of dollars, for buyers and sellers, investors and owners, including private-equity and venture-capital funds. DWT’s healthcare M&A team’s experience with laboratory transactions adds cost-efficiency while assuring the multidisciplinary bandwidth needed to drive a successful, fast-moving lab deal.

Hospital laboratory outreach strategic ventures

Assisted clients with negotiating and executing dozens [25+] of strategic hospital lab outreach ventures throughout the U.S. Helped commercial lab clients to structure and implement numerous creative yet compliant, fully integrated joint ventures with hospitals and health systems. Also helped some of the nation’s leading hospital lab outreach management firms design and negotiate multimillion-dollar comprehensive, long-term, management services agreements.
