Edric Itchon (CIPP/US) is a technology transactions counsel who helps companies pursue strategic initiatives requiring the structuring and negotiating of complex IP and commercial agreements, including: developing and securing critical technology and compelling content; acquiring, selling, and licensing key IP assets; launching new products, services, and business models; establishing manufacturing, supply, and distribution channels; navigating compliant data sharing and processing arrangements; forming strategic alliances, partnerships, and joint ventures; and commercializing IP portfolios.

Edric has two decades of business and legal experience in Silicon Valley spanning a broad number of industries and technologies, including artificial intelligence, media and entertainment, electric and autonomous vehicles, internet of things, cryptocurrency and fintech, semiconductors, and software as a service. He has advised on hundreds of deals worldwide amounting to more than $50B in signed value.

Drawing upon deep, substantive IP knowledge, technical proficiency, and project management training, Edric expeditiously navigates deals from the NDA and term sheet to signing and closing. He quickly gets up to speed on the legal issues, technical details, and regulatory concerns of a deal and translates that complexity into practical solutions and executive-ready guidance. Edric stays focused on the business drivers of a transaction, remaining agile as priorities shift. He appreciates the unique risk tolerance of each client, and he scopes risk in a way that supports decision-making by senior in-house legal teams and their VP/C‑suite stakeholders.

Previously, Edric coordinated multimillion‑dollar, large-volume deals as a business development manager at HP, advocating customer requirements to product divisions while providing technical expertise and pricing authority to sales teams. He also litigated commercial, trade secret, and patent disputes at prior law firms and clerked at the U.S. Department of Justice Antitrust Division.

Edric is a frequent speaker at industry events and author of legal publications focused on leading-edge issues across the tech industry, including AI, fintech, and intellectual property.

Content, data, and software

Advised on development, distribution, licensing, trademark, and royalty agreements for AAA and casual video games; use of AI in content creation and critical functions; neural network-based machine translation technologies designed to facilitate cross-border e-commerce; conversational AI services for sales, marketing, and finance; data sharing and processing arrangements (including for set-top box viewership and TV content metadata; credit card and other financial data; biometric data; telematics and other vehicular data; as well as aerial photography, satellite imagery, and other geographic data for AI training); information security, business continuity, high availability, and disaster recovery considerations involving hyperscalers and other data center and SaaS providers; cryptocurrency platform licensing and services; and software issues relating to licensing, development, open source, source code and escrow.

Hardware, manufacturing, and supply chain

Advised on: integrated solutions applying computer vision to IoT edge devices; collaborations among semiconductor, memory, IoT device, and training data companies; critical IP and technology components for electric vehicles; overseas deployment of mobile payment solutions and biometric scanners; and semiconductor foundry and supply agreements.

Intellectual property and deal structures

Advised on strategic structuring and novel commercialization of IP portfolios; IP licensing, transfers, and development; patent auctions, purchases, and sales; licenses, covenants not to sue, and standstill arrangements in the context of disputes and settlements; and trade secret strategies. Provided IP, technology, commercial, and data guidance in the context of mergers and acquisitions (involving strategic acquirers, private equity sponsors, emerging companies, and venture capital), series financing, term loans, and bankruptcy proceedings.
