Overview

Regulatory & Product Counseling

Expert practitioners across our financial services practice group and the firm work with us to provide cross-spectrum mortgage-focused regulatory and product counseling. Our team covers consumer disclosure issues, UDAAP, agency and investor requirements, RESPA Section 8 concerns, fair lending and servicing, marketing and advertising requirements, privacy and information security, BSA/AML and fraud, National Flood Insurance Program requirements, paperless and digital lending and servicing issues, HELOC and home-secured open-end lending requirements, lender-placed insurance, and the careful touch needed when it comes to default servicing, loss mitigation, foreclosure, and bankruptcy issues.

Transactional

We have the specialized expertise and experience necessary to guide our clients through the negotiation, documentation and closing of purchases and sales of mortgage loans and MSRs, including flow and bulk purchases, agreements for the servicing and subservicing of mortgage loans on a bulk and flow basis, as well as the acquisition or sale of mortgage lenders, their assets or related businesses in various M&A transaction structures. We understand and are prepared to navigate the unique considerations that arise when buying or selling the business of a non-bank financial services provider such as a mortgage company, mortgage servicer or other industry participant or related assets. We also recognize the unique vendor management expectations that can stand in the way of an efficient and successful negotiation of a servicing, subservicing or other business process, SaaS, technology platform, outsourcing or other critical services agreement in the industry. No matter what side of the table your business is on when negotiating an origination assistance, servicing, or other agreement related to highly regulated or proprietary processes and sensitive consumer data, we can leverage that experience to shorten your path to a deal.

Supervision, Investigations & Enforcement

We know how regulators think. Our team includes experienced former regulators whose government service informs their approach, including lawyers who served at the CFPB, the OCC, the FDIC, the FHFA, the FTC, the Federal Reserve Board, state banking regulators, offices of state attorneys general, and U.S. Attorneys' offices. Our practitioners have successfully managed a wide range of sensitive and high-stakes government examinations, investigations, and enforcement actions for mortgage lenders and servicers and other consumer financial services industry clients. We assist with examination, compliance, and risk management issues. We support internal investigations to determine root causes or respond to whistleblower complaints, and we help navigate the complex relationship issues involved when our mortgage industry clients must engage with regulators. And when regulatory issues move beyond supervision and into enforcement, we provide vigorous and sensitive advocacy and defense, whether strategically responding to a civil investigative demand or subpoena from a federal or state regulator, negotiating a consent order, or litigating if necessary. Our top priority is to help minimize both reputational and financial risk for our mortgage industry clients.

Litigation

Mortgage lending and servicing disputes increased exponentially in the wake of the 2008 financial crisis and alongside the rise of the CFPB and expanded state and federal regulation of the mortgage industry. Our consumer financial services litigation team has been there from the start. We defend mortgage industry participants in nationwide class actions, handle large portfolios of default servicing and foreclosure-related litigation, and other complex litigation faced by our mortgage industry clients. Our consumer financial services litigators include skilled trial attorneys and appellate practitioners. Our decades-long experience defending the mortgage industry, and complementary regulatory expertise, allows us to provide comprehensive compliance and risk counseling along with litigation defense.

Mortgage Regulatory and Product Counseling

CARES Act and Regulation X COVID loss mitigation rules compliance advice

Provided ongoing advice to mortgage loan servicers regarding compliance with the CARES Act and agency-required COVID-related loss mitigation programs and updated Regulation X loss mitigation requirements during the novel coronavirus pandemic.

Loss mitigation platform design

Advising mortgage fintech SaaS provider on regulatory compliance and legal issues arising in connection with mortgage loss mitigation platform for loan servicers providing relief following CARES Act and other COVID-19 related mortgage relief programs.

TDR Accounting Under CARES Act

Advised large national bank regarding TDR accounting issues arising under CARES Act in connection with mortgage relief.

Fair lending review, redlining issues

Assisted non-bank mortgage lender in comprehensive fair lending review, including ongoing advice regarding fair lending and potential redlining issues arising from referral relationship with real estate brokerage.

Special purpose credit programs

Provided guidance to credit union in connection with establishment of Special Purpose Credit Programs under ECOA, Regulation B, and the Fair Housing Act for lending to women and minority owned businesses, and mortgage lending.

Mortgage backed credit card product counseling

Provided ongoing product and regulatory counseling to fintech provider of home-secured credit card.

Flood insurance issues

Advised mortgage lender in connection with National Flood Insurance Program and federal agency requirements for condominium flood insurance.

TILA disclosure remediation

Advised mortgage lender in connection with TILA Loan Estimate and Closing Disclosure issues and remediation arising from inadvertently undisclosed closing costs across a loan population segment.

Consumer protection legislation and national mortgage relief program advice to foreign government*

Advised small foreign government regarding implementation of mortgage relief programs in cooperation with locally operating banks, and assisted in drafting foreclosure-related legislation and other consumer financial protection legislation.

Foreclosure crisis era mortgage loss mitigation counseling*

Routinely advised mortgage industry clients on loss mitigation practices and procedures and compliance with federal and state mortgage servicing regulations and program requirements, particularly those governing foreclosure, bankruptcy, and loss mitigation, in the wake of the 2008 financial crisis.

Represented several financial institutions in connection with False Claims Act investigations and self-disclosures regarding lenders' participation in Federal Housing Administration single-family loan programs.

Represented a regional bank in HUD's investigation and administrative action in connection with a merger.

HUD administrative enforcement - FHA servicing requirements

Represented credit union in HUD administrative enforcement action arising from several FHA program compliance issues including loss mitigation performance, default servicing monitoring, and quality control.

RESPA violations - marketing services

Defended bank executive in FDIC investigation of alleged RESPA violations related to marketing services agreements.

CFPB investigation and enforcement action related to loss mitigation practices*

Represented loan servicer in CFPB investigation and enforcement action and related state regulator inquiries relating to loss mitigation practices and compliance with Regulation X loss mitigation rules. 

CFPB HMDA enforcement action

Representation of a federal savings bank in CFPB HMDA enforcement action; achieved favorable resolution.

CFPB mortgage origination examination

Represented a national bank in a CFPB mortgage origination examination PARR Letter alleging violations of ECOA, HMDA, RESPA, TILA and UDAAP; the matter was resolved confidentially.

SCRA lookback

Advised large national bank in connection with large-scale, government-driven SCRA lookback following the foreclosure crisis.

Self-disclosure and remediation of late fee assessment issue*

Advised mortgage loan servicer in connection with self-disclosure to CFPB, resolution, and remediation of improper fee assessment and collection issue. Matter was resolved confidentially with no civil monetary penalties.

HELOC self-disclosure and remediation*

Representation of a regional bank in connection with identification, scoping, self-disclosure, and consumer remediation of several issues in the bank's HELOC loan servicing practices, including interest overages, payment misallocation, lien release, and PMI cancellation.

Represented a large national, privately held mortgage company in its agreement to acquire another mortgage company in a stock purchase transaction, and in an acquisition of key assets with more limited regulatory approvals.

Advised founding owners of a national mortgage company in its sale to a private equity-affiliated buyer.

Advised sponsor in SPAC transaction on mortgage industry-related terms of agreement for it to acquire a national mortgage lender valued at more than $10 billion at closing.

Represented a federal savings bank in its sale of a default mortgage servicing platform and related assets, and an agreement for the purchaser to subservice the selling bank's defaulted loans.

Subservicing and other outsourcing and critical vendor agreements*

Represented a large publicly traded regional bank and a major Wall Street wealth management concern in negotiations of their respective mortgage loan subservicing agreements with subservicers committing to accept loans for subservicing on fixed terms for multiple years.

Class Action and Other Complex Mortgage-Related Litigation

Residential Mortgage Backed Securities (RMBS) litigation

Defense counsel in over 20 lawsuits against RMBS sponsors and originators. Obtained dismissal of RMBS claims seeking more than $3 billion in damages from mortgage loan originator. Represented originators responding to more than 65 RMBS-related indemnity demands and more than 165 RMBS-related third-party document subpoenas.

Unfair and deceptive loan disclosure policies class action

Represented lender in Washington state court putative class action alleging lender's loan disclosure policies were unfair or deceptive under Washington Consumer Protection Act and defeated motion for class certification.

Short sale-related California Unfair competition law class action

Representing a large financial institution in a putative California state class action alleging that our client required mortgage loan borrowers to enter into unsecured loan agreements as a condition of allowing a short-sale.

FDCPA violations class action*

Secured dismissal, affirmed on appeal to the 2nd Circuit, of putative consumer class action alleging FDCPA violations stemming from language and figures used in statutorily required debt validation letter.

Lien release recording statute violations class action*

Represented mortgage loan investor in putative consumer class action alleging violations of state lien release recording statutes, implicating millions in statutory damages.

UDAAP and ECOA violations - loan modification program class action*

Secured dismissal of putative consumer class action against mortgage loan servicer alleging unfair and deceptive practices, violations of federal loan servicing regulations governing loss mitigation, and ECOA violations in connection with loan servicer's administration of proprietary loan modification program.

Provided advice in connection with representation of mortgage servicer in False Claims Act qui tam action that resulted in DOJ declination and complete dismissal prior to discovery.
